This Copyright and Usage Agreement (“Agreement”) is made effective as of [Date], between Sophie Mayes, trading as Sophie Mayes Photography (“Photographer”) and any individual or organisation (“Client”) who commissions, purchases, or uses photographic works produced by Sophie Mayes Photography.

1. Ownership of Copyright

Sophie Mayes is the sole creator of all photographic works (“Photographs”) produced under Sophie Mayes Photography.

Full copyright ownership of each Photograph remains with Sophie Mayes at all times and is automatically established at the moment each Photograph is taken. No copyright is transferred to the Client under this Agreement.

2. Grant of Usage Rights

The Client is granted a non-exclusive, non-transferable licence to use the Photographs only after full payment has been received.

Permitted uses include:

• Promotional use across social media platforms
• Use on websites and digital platforms
• Editorial use (e.g., magazines, blogs, press features)
• Physical promotional materials (e.g., banners, posters, brochures)

3. Restrictions on Use

The Client agrees that they shall NOT:

• Use any Photographs prior to full payment being made
• Sell, license, sublicense, or otherwise commercially redistribute the Photographs to third parties
• Claim ownership or authorship of the Photographs

All rights not expressly granted remain with Sophie Mayes.

4. Payment Terms

Payment for the Photographs must be made in full within 7 working days from the date of invoice.

If payment is not received within this timeframe:

• A late fee may be applied
• Continued use of the Photographs will be considered unauthorised until payment is completed

5. Late Payment and Revocation of Rights

Sophie Mayes reserves the right to revoke all usage rights granted under this Agreement if payment is not received in full.

Any use of the Photographs during a period of non-payment constitutes a breach of this Agreement and may result in further action.

6. Delivery Contingency (Event Completion)

Where an agreed number of Photographs is expected based on event participation (e.g., races or sporting events), and the Client does not complete the event or otherwise does not fulfil the conditions necessary for capturing the agreed quantity of images, the final number of delivered Photographs may be reduced.

In such circumstances, any adjustment or reduction in the agreed fee will be at the sole discretion of Sophie Mayes.

7. Minimum Fee Guarantee

A minimum fee shall apply to all bookings, regardless of the number of Photographs delivered or event outcome.

This ensures compensation for time, preparation, attendance, and production work carried out by Sophie Mayes.

8. Attribution (Optional)

Where reasonably possible, the Client agrees to credit:
“Sophie Mayes Photography” in association with the use of the Photographs.

9. Liability

All Photographs are provided “as is.” Sophie Mayes shall not be held liable for any indirect or consequential loss arising from their use.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales.

11. Entire Agreement

This document constitutes the entire agreement between Sophie Mayes Photography and the Client and supersedes any prior discussions or agreements.

12. Acceptance of Terms

By commissioning services, making payment, or using any Photographs produced by Sophie Mayes Photography, the Client is deemed to have read, understood, and agreed to the terms of this Agreement.
